We are currently supporting an international investment management firm in Luxembourg in their search for a proactive and experienced Paralegal / Corporate Officer. This is a unique opportunity to join a collaborative, human-sized team where initiative is welcomed, independence is encouraged, and professionalism is grounded in trust.
Your mission: be a key driver of legal and governance processes
You won't just be executing tasks-you'll be steering them. In this role, you'll take ownership of the corporate legal management of a broad range of entities, including investment funds, SPVs, and holding companies. You will actively contribute to the improvement and optimization of internal legal processes, ensuring smooth execution and full compliance in all matters of corporate governance.
Responsibilities
Experienced Paralegal - Your core responsibilities:
- Organize, prepare, and follow up on board meetings for multiple legal entities.
- Manage key lifecycle events: incorporation, restructuring, and liquidation of Luxembourg entities.
- Coordinate legal aspects of transactions with internal departments and external stakeholders.
- Draft and maintain accurate governance documentation and corporate records.
- Ensure strict compliance with Luxembourg legal and regulatory requirements.
- Contribute to AML/KYC reviews and other regulatory obligations.
- Identify areas for improvement and actively implement governance and process enhancements.
Profile
Experienced Paralegal - What we're looking for:
- At least 4 to 5 years of experience in a similar role, ideally in both in-house and law firm environments.
- Strong understanding of Luxembourg corporate law and governance best practices.
- Familiarity with a range of legal structures (funds, SPVs, holdings).
- Autonomous and highly organized, with a solution-oriented mindset and sense of ownership.
- Reliable, proactive, structured, and able to manage competing priorities in a fast-paced setting.
- Fluent in both English and French, written and spoken.
