Our client, a dynamic and human-sized AIF manager, is seeking a Company Secretary to join their collaborative team. Responsibilities

Company Secretary - Your Role :

In this key role, you'll oversee corporate governance and ensure legal and regulatory compliance across various fund structures and SPVs:

  • Organize board and shareholder meetings (AIFM, funds, Soparfis)
  • Manage legal processes: incorporations, liquidations, transactions
  • Maintain banking relationships and oversee account openings
  • Coordinate with external stakeholders (lawyers, notaries, tax advisors)
  • Handle AML/KYC documentation and liaise with depositary banks
  • Maintain statutory registers and internal procedures

Profile

Company Secretary - Your Profile:

  • 3-5 years' experience in a similar role, ideally in private equity or fund administration
  • Strong knowledge of fund structures, corporate governance, and AML/KYC regulations
  • Fluent in French and English (Italian is a plus)
  • Organized, autonomous, and proactive
