Responsibilities
Company Secretary - Your Role :
The Company Secretary will take on a variety of corporate and compliance responsibilities, including:
- Organizing board meetings and shareholder meetings for the AIFM, funds, and Soparfis.
- Managing legal operations, such as incorporations, liquidations, and extraordinary transactions.
- Handling bank accounts: Opening accounts and managing relationships with private banks and financial service providers.
- Liaising with key partners: Working closely with lawyers, notaries, and tax advisors to ensure all legal and regulatory requirements are met.
- Overseeing AML/KYC compliance: Ensuring up-to-date documentation for investors and portfolio assets, as well as responding to AML requests from depositary banks and co-investors.
- Maintaining registers and keeping internal procedures updated.
Profile
Company Secretary - Your Profile:
The ideal candidate will have:
- 2 to 4 years of experience in a similar role, with a strong background in fund structures, SPVs, and corporate governance.
- Expertise in AML/KYC processes and daily screening systems, with a focus on data accuracy.
- Fluency in French and English (knowledge of Italian is a significant plus).
- A high level of autonomy, strong organizational skills, and the ability to be immediately operational.
