Responsibilities

- Manage a portfolio of alternative investment vehicles
You will handle the full lifecycle of various entities (Sàrl, SA, SOPARFI, SPV), streamlining workflows and ensuring smooth operations. This hands-on role will sharpen your legal expertise and position you as a key contributor to the fund setup process. - Organise and coordinate board and shareholder meetings
You'll prepare and oversee meetings of governing bodies, ensuring regulatory compliance while facilitating decision-making. This will allow you to become a trusted contact for internal and external stakeholders. - Draft legal documentation (AGMs, minutes, resolutions, certificates)
Through accurate and structured documentation, you'll play a vital role in upholding governance standards and boosting internal efficiency in corporate reporting. - Monitor statutory changes and capital transactions
You will oversee complex corporate events-such as director changes, share transfers, capital increases/reductions, and liquidations-building strong exposure to high-value legal and financial operations. - Maintain legal registers and coordinate filings
Ensuring timely and accurate filings with the RCS and RBE will enhance your regulatory knowledge and strengthen your operational reliability. - Liaise with Compliance and KYC teams
Collaborating closely with compliance officers, you'll help integrate AML/KYC best practices into the fund governance framework, deepening your interdisciplinary expertise and broadening your strategic impact.
Profile
- Your Profile
- Between 3 to 5 years of experience in corporate governance, ideally within the alternative fund industry (PE/RE, SOPARFI, SPV).
- Solid knowledge of Luxembourg company law and experience with RCS/RBE filings.
- Strong organisational and drafting skills with attention to detail.
- A proactive mindset, and ability to work in a team.
- Excellent interpersonal skills and comfort interacting with investors, legal advisors, and regulators.
- Motivation to support internal growth and digitalisation within a fast-evolving structure.
